Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of matcap.vc, the MatCap founder portal, MatCap events, and the MatCap Founder Texts messaging program (together, the “Service”), provided by MatCap (“MatCap,” “we,” “us”). By using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. MatCap Founder Texts (SMS program)

- MatCap Founder Texts is a conversational text messaging line for founders who apply to or participate in MatCap. Messages cover your application (including questions we ask to complete it), updates on investor intro requests we send on your behalf, follow-ups about investor meetings, and reminders about program activities and events. You join by texting our number or by providing your mobile number and agreeing to receive texts from MatCap.

- How to opt out
- Reply STOP to any message to stop receiving texts. You will receive one message confirming you have been unsubscribed, and no further messages after that. To rejoin, reply START.
Carriers are not liable for delayed or undelivered messages. Consent to receive text messages is not a condition of applying to or participating in MatCap. Your mobile information is handled as described in our Privacy Policy; no mobile information will be shared with third parties or affiliates for marketing or promotional purposes.
2. The Service
MatCap helps pre-seed founders raise capital by sending warm intro requests to investors on their behalf, providing a fundraising CRM and related tools, and offering programming such as office hours, practice sessions, and events. Features may change over time, and we may add, modify, or discontinue parts of the Service.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company, you represent that you are authorized to bind it. You are responsible for keeping your login credentials secure and for activity under your account. Acceptance into the MatCap program is at our discretion.
4. Your information and materials
- You agree that the information you provide about yourself and your company — including your deck, blurb, traction, and fundraising details — is accurate and not misleading.
- You grant MatCap permission to use and share those materials with investors to request introductions and otherwise provide the Service.
- You keep ownership of your materials. You confirm you have the rights to share them, and that sharing them does not violate anyone else’s rights or any confidentiality obligation.
- When you upload investor contacts or other people’s information to your portal, you confirm you are allowed to do so.
5. No investment advice, no guarantee of funding
MatCap is not a broker-dealer, investment adviser, funding portal, law firm, or accounting firm. Nothing in the Service is investment, legal, tax, or accounting advice, and nothing in it is an offer to sell or a solicitation to buy any security. Investors make their own independent decisions. We do not guarantee that any intro will be accepted, that any meeting will occur, or that you will raise capital. You are responsible for complying with securities laws in your fundraising and for obtaining your own professional advice. Where we help prepare or file documents at your request, you remain responsible for reviewing them for accuracy.
6. Acceptable use
You agree not to misuse the Service, including by: providing false information; harassing or spamming investors or other founders; attempting to access accounts or data that are not yours; interfering with or reverse engineering the Service; or using it for any unlawful purpose.
7. Intellectual property
The Service, including our site, software, content, and branding, is owned by MatCap and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose while you comply with these Terms.
8. Third-party services
The Service relies on and may link to third-party services, such as Google, booking tools, and payment or incorporation providers. Your use of those services is governed by their own terms, and we are not responsible for them.
9. Termination
You may stop using the Service at any time. We may suspend or end your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnity — will survive.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the fullest extent permitted by law, MatCap will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or investment opportunities, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid MatCap for the Service in the twelve months before the claim, or $100.
12. Indemnity
You agree to indemnify and hold MatCap harmless from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your materials, your fundraising activities, or your violation of these Terms or applicable law.
13. Governing law
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.
14. Changes and contact
We may update these Terms from time to time. When we do, we will change the effective date above, and for material changes we will give notice through the site or by email. Continuing to use the Service after changes take effect means you accept them.
